Leads Unlimited By-Laws

Purpose

Leads unlimited is a group of business owners, managers, and salespeople who meet weekly to provide leads for its members, inform them about business opportunities, work together to provide business contacts, and develop a better understanding between its members for referrals.

Membership

The members of Leads Unlimited shall consist of people in executive, management, sales, and other appropriate positions in business, organizations, and professions. To reduce conflicts of interest, membership is limited to one person per business, service or professional category, as the board shall designate. Categories may be split in some cases as the board shall designate. Members may represent a second category as long as it poses no conflict with the main category of another member, and their listing is in that one main category. Leads Unlimited does not accept applications from members of other leads groups.

Dues

Dues are set by the board at $35 per month including breakfast, membership, the newsletter, and one ring binder. A discount of one month is available to members who pay a year in advance, and is non refundable.

Requirements

Regular attendance at meetings, active participation, payment of dues, and the consistent sharing of three leads a week or twenty per quarter. Any member who misses three consecutive meetings without notifying a board member may be terminated by the board. In this event the member shall be notified in writing and then the decision becomes final.

Application

After attending three meetings, a prospective member may submit an application with 3 months dues ($90.) The Vice President or designate will briefly interview the prospective member and any existing member with an issue to insure that no conflicts exist with current members. If no conflict or objections from the members exist, the Board will vote on the prospective member.

If accepted for membership, the first three months of dues are not refundable, and the new member is probationary, with any infraction of Leads Unlimited By-Laws an automatic dismissal.

All conflicts will be resolved by majority vote of the Board. The Vice President will inform the new member of the board's vote.

Visitors will be charged the going rate for breakfast and all attendees will pay the restaurant for non included beverages.

Meetings

Leads Unlimited meets every Tuesday morning at Mimi's Café, 120 S. Wilmot from 7:00 AM to 8:00 AM except after major holiday dates as the board shall designate.

Leads

A lead is any information about a business opening, closing, expansion, relocation, personnel change, etc., that could be an opportunity for a fellow club member to do business.

A direct lead is information about an item or service that a business needs now, such as phones, Furniture, lift trucks, etc. Please include names, addresses, phone, fax, contact person & reason for the lead in the newsletter.

Confidentiality

Leads should be restricted to its members. In the event a Leads Unlimited member passes a lead to other groups or individuals, and this lead is in conflict with a member, then the member passing the lead shall be subject to reprimand by the Board Of Directors and possible termination of membership.

Board

Leads Unlimited is managed by its own Board Of Directors who are elected in December and take office at the first regular meeting in January for one year terms. Officers are nominated by the sitting board at a separate nominating meeting. The nominations shall be published in the newsletter for two weeks before the general membership vote, which shall be by simple majority of the members

attending. The Board has the authority to terminate the membership of any member not meeting the standards of the club. Board votes are by simple majority and need not be recorded by roll call.

Board Responsibilities

The President shall run weekly and board meetings and designate temporary positions as needed.

The Vice-President shall be the membership chairman, preventing any conflicts or bringing them before the board, and act as President in his or her absence.

The Secretary shall record the minutes of the weekly and board meetings and turn them over to the person responsible for the publication of the newsletter, and shall archive the applications of all members.

The Treasurer shall receive all monies and disburse funds as the board shall designate, or select an alternate as the board shall approve. Disbursements of over $25 require a vote of the board.

The Member At Large shall be the speaker chairman and scheduler.

The Past President shall give sagacious advice to the Board and be, as all others on the Board, a voting member.

In the event of a Board vacancy the President will designate a member to fill in and an election will be held within two weeks to fill the remainder of that term.

Newsletter

A bulletin is published weekly with the leads submitted by the members on sheets furnished by the club. Members are encouraged to call each other if the lead is of an immediate nature. A directory is published from time to time for members to stay updated on the goods and services of each other and for recruiting.

By-Law Changes

These By-Laws may be amended by written notice of the Board Of Directors. Proposed changes will be published for at least two weeks in the newsletter before a vote of the membership. A 2/3 majority of the members present is required to pass changes and amendments. Members may address the Board for proposed changes or for any other cause.
